Acceptance of Terms By accessing or using the Positive Athlete platform (the “Platform”), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you may not use the Platform. We may update these Terms at any time. Continued use of the Platform after changes means you accept those changes. 2. Who May Use the Platform The Platform is intended for use in the United States by: ● Student-athletes ● Parents, coaches, or community members nominating others ● Coaches, athletic directors, and school staff ● Partners (e.g., recruiters or opportunity providers) ● Verified administrators acting on behalf of Positive Athlete, Inc. You must be at least 13 years old to use the Platform. Users under 18 should obtain consent from a parent or guardian. 3. User Accounts and Responsibilities You are responsible for: ● Providing accurate and truthful information during registration or nomination ● Keeping your login credentials confi dential ● Any activity occurring under your account We reserve the right to suspend or terminate any account that violates these Terms. 4. Profile Information and Visibility Some information you submit—including your name, school, achievements, uploaded media, or nominations—may be visible to other users, including: ● Coaches and athletic directors ● Approved partners (e.g., recruiters) ● Other student-athletes and alumni on the Platform You can manage certain visibility preferences from your account settings. 5. Nominations and Third-Party Information If you nominate another person, you are responsible for ensuring you have their permission to submit their personal information. You agree not to submit false, misleading, or unauthorized information about any third party. 6. Messaging and Conduct Certain users (e.g., coaches, partners) may be allowed to send direct messages to student-athletes. By using this feature, you agree to: ● Communicate respectfully and professionally ● Not engage in harassment, solicitation, or inappropriate behavior ● Not share sensitive personal or contact information unnecessarily We reserve the right to monitor, flag, or moderate messages for safety and compliance. Users may block or report inappropriate messages. 7. Opportunity Posting Verified partners may post job, scholarship, internship, or program opportunities. By posting, you agree that: ● Your listings are accurate, lawful, and nondiscriminatory ● You have the right to offer the opportunity described ● We may moderate, edit, or remove listings at our sole discretion We do not guarantee any outcomes or matches as a result of posted opportunities. 8. User-Generated Content Users may upload or submit content (e.g., resumes, bios, videos, endorsements). You retain ownership of your content but grant Positive Athlete a non-exclusive, royalty-free license to use, display, and distribute that content within the Platform. You agree not to upload or submit content that: ● Violates the rights of others (e.g., copyrighted material, impersonation) ● Contains offensive, harmful, or illegal material ● Misrepresents your identity or affiliation We may remove or moderate content at our discretion. 9. Administrative Access Authorized platform administrators may access user accounts solely for support, troubleshooting, moderation, or technical maintenance. All such access is logged and restricted to trained personnel following internal protocols. 10. Platform Changes and Availability We may update, modify, or discontinue portions of the Platform at any time. We do not guarantee uninterrupted access or that the Platform will be error-free or secure. 11. Prohibited Conduct You agree not to: ● Attempt to hack, disrupt, or overload the Platform ● Reverse-engineer or scrape data from the system ● Use the Platform for any illegal or unauthorized purpose Violation of these rules may result in suspension, termination, or legal action. 12. Intellectual Property All content, branding, design, and technology on the Platform (excluding user-submitted content) is the property of Positive Athlete, Inc. You may not reproduce, copy, or distribute it without written permission. 13. Disclaimers The Platform is provided “as is” without warranties of any kind, express or implied. We do not guarantee that use of the Platform will lead to recognition, scholarships, jobs, or any specifi c outcome. 14. Limitation of Liability To the fullest extent permitted by law, Positive Athlete, Inc. is not liable for any indirect, incidental, special, or consequential damages resulting from: ● Use or inability to use the Platform ● Errors, delays, or downtime ● Unauthorized access to user information 15. Governing Law These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. ("Positive Athlete", "we", "us", or "our") respects your privacy and is committed to protecting the personal information you provide when using our website, mobile app, or any part of the Positive Athlete platform (the "Platform"). This Privacy Policy outlines what data we collect, how we use it, who we share it with, and the rights you have over your information. By using the Platform, you agree to the terms of this Privacy Policy. 2. Who This Policy Covers This Privacy Policy applies to all Platform users, including: ● Student-Athletes ● Nominators (e.g., parents, coaches, community members) ● Verified Institutions (e.g., Coaches, Athletic Directors) ● Partners (e.g., recruiters, opportunity posters) ● Platform Administrators 3. Information We Collect a. Information You Provide We collect information you submit directly, such as: ● Name, email address, phone number, school affiliation ● Uploaded content (photos, resumes, videos, achievements) ● Nominations, endorsements, and profile data ● Messages sent through the platform b. Information About Others Nominators may submit personal information about other individuals (nominees). By doing so, you confirm you have the legal right to share this information. See section 11 for more. c. Automatically Collected Data We collect: ● Device data (browser, OS, IP address) ● Usage behavior (pages viewed, interactions) ● Location data (if permission is granted via browser or device) d. Location Data If you opt in, we collect your location to display nearby opportunities. You can disable this at any time via device or browser settings. 4. How We Use Your Information We use personal data to: ● Operate and maintain the Platform ● Match athletes to relevant opportunities ● Display public profiles and endorsements ● Send notifications via email or text message ● Analyze usage and improve user experience ● Flag inappropriate content or behavior ● Support technical and account troubleshooting 5. AI & Automated Analysis We use automated tools—including artificial intelligence systems—to assist in analyzing nominations, scoring submissions, and flagging potentially harmful content in messages. These tools may process personal information for internal platform use only and are never used to train any external models or services. 6. Messaging and Moderation Users with verified roles (e.g., coaches, partners) may message student-athletes. Messages may be automatically analyzed for safety. Users can block or report inappropriate messages, and flagged content may be reviewed by moderators. 7. Who Can See Your Data Your personal data may be visible to: ● Verified school officials (coaches, athletic directors) ● Approved partners (recruiters, opportunity posters) ● Positive Athlete administrators Public-facing profile information may include your name, school, bio, achievements, and uploaded content. You may control some visibility settings via your account, including the ability to opt out of public sharing entirely. If you do not opt in to share your profile, it will remain hidden from all public and partner-facing views and will only be accessible to internal administrators for support or compliance purposes. 8. How We Share Information We do not sell personal data. We may share it with: ● Third-party service providers who support platform functionality (e.g., analytics, messaging, hosting, communications, automated scoring) ● Partners or institutions for opportunity matching ● Legal authorities, if required by law or to protect user safety All service providers are contractually required to handle your data securely and in accordance with this Privacy Policy. 9. Nominations & Third-Party Information When you submit a nomination, you may provide personal information about someone else (e.g., a student-athlete). You are responsible for ensuring you have their permission or a reasonable basis to do so. We treat nominee data with the same level of protection as registered users. This data may be analyzed using automated systems and shown to verified platform participants (e.g., coaches, partners) for review or opportunity consideration. 11. Data Retention We retain your personal data as long as your account is active or as needed for operational, legal, or compliance purposes. You may request deletion at any time. Some data may be retained to protect platform integrity or fulfill legal obligations. 12. Security Practices We use secure cloud infrastructure, encrypted transmission, and role-based access controls to protect user data. All access to sensitive information is logged and restricted to authorized personnel under strict policies. 13. Cookies and Tracking We use cookies and similar tracking technologies to: ● Maintain your session ● Analyze platform usage ● Improve performance and personalization These may be set by internal systems or third-party analytics providers. Children’s Privacy The Platform is not intended for users under the age of 13. We do not knowingly collect data from children under 13. If such data is discovered, it will be promptly deleted. 15. Youth Users (Ages 14-17) We recognize that many student-athletes using the Platform are between the ages of 14 and 17. Although they are above the age threshold of the Children’s Online Privacy Protection Act (COPPA), they are still considered minors under U.S. law and are entitled to additional privacy protections. We take the following steps to safeguard youth users: ● Limited Data Sharing: Personal information, nominations, and profiles for users aged 14–17 are only accessible to verified platform users (e.g., coaches, partners, and Positive Athlete administrators). This information is not shared publicly or with unverified third parties. ● Parental Awareness and Consent: We encourage users under 18 to involve a parent or guardian in their registration and use of the Platform. Where required by state or local laws, we may request parental consent before collecting or processing certain types of data. ● Messaging & Safety Monitoring: Youth users may only receive messages from verified users (such as coaches or recruiters). All messages are subject to automated analysis and may be flagged for moderation to ensure user safety. Youth users can block or report inappropriate communication at any time. Data Rights for Minors: Youth users and their parents/guardians may request access, correction, or deletion of personal information at any time.
